Terms Of Sale The Terms of Use, NEHOC's Privacy Policy and the applicable Warranty Terms form part of, and are hereby incorporated into, these terms and conditions of sale [collectively the 'Sale Terms']. The Sale Terms apply to your purchase of any Products from NEHOC by telephone, facsimile transmission, e-mail and on the NEHOC Site. NEHOC may amend this Agreement at any time by posting the amended and restated Agreement on the Site. The amended and restated Agreement shall be effective immediately upon posting. This Agreement was last amended on 3rd August 2006. Posting by NEHOC of the amended and restated Agreement and your continued use of the Site shall be deemed to be acceptance of the amended terms. This Agreement may not otherwise be modified except in writing by an authorised officer of NEHOC. Warranty All products are warranted against faulty manufacture. In addition many product [including machines, kits and packages] comes with its own NEHOC warranty. Sale Terms NEHOC Australia Limited (ABN 31 000 845 965) ('NEHOC') shall sell and you shall purchase the products and services offered for sale ('Products') in compliance with the Sale Terms. All orders placed by you ('Orders') are accepted pursuant to the Sale Terms, which supersede any other terms relating to the sale of the Products appearing on the Site or elsewhere and shall override any other terms referred to by you or in any course of dealing. YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT BY ORDERING, ACCEPTING, OR OTHERWISE USING THE PRODUCTS. Price All prices listed on the Site or NEHOC Price List do not include Insurance, Freight or Handling charges that may be applicable to your Order unless otherwise stated. Prices are accurate at time of publication and per our published price lists and are subject to change without notice. All International [Export] orders are exempt and supplied tax free. A 10% Goods and Services Tax [GST] will be charged on all orders delivered to an Australian address. Where GST is charged, the total of GST amounts will be listed on each Tax Invoice. The price of a Product shall be as stipulated on the Site at the date of placement of your Order. Unless otherwise indicated on the Site, all prices include all Australian taxes. Any price listed on Quotes, Estimates and Proforma Invoices shall be valid for 14 days from date of issue, unless marked otherwise. Placement of Orders You agree that submitting an order by Phone/ Fax/ Mail/ E-mail or Internet constitutes a firm order and can not be cancelled unless the order is immediately (deemed 2 minutes) followed by a written cancellation of that order by e-mail or fax. All Contact, Billing, Delivery and Payment details provided with your order will be used and stored by NEHOC for the purpose of establishing a Trading Account, processing of the current order and facilitating the faster processing of future orders. An Order placed by you on the Site is an offer by you to purchase a particular Product. NEHOC reserve the right to accept or reject your Order for any reason, including, without limitation, an error in your order or in the material on the Site, delivery outside authorised countries for specific Products, or the unavailability of the Product. The contract to purchase a particular Product only comes into existence upon acceptance by NEHOC of your Order. Products are subject to availability. In the event of shortage, NEHOC may allocate sales and deliveries in its sole discretion. NEHOC does not warrant Products are in stock or under manufacture at time of accepting your Order. There is NO minimum order value per individual order. The Site may refer to Products that are available for purchase in Australia, New Zealand, Asia & South Pacific Region. NEHOC may update, or discontinue any Product and/or revise prices for any Product listed as available on the Site at any time. You agree that changes may occur between any Product shipped to you and the Products described in marketing materials. Product features, weights, sizes, pack, quantity, dimensions and specifications described or depicted on the Website ('Products'), or available for purchase through the Website (including, without limitation, prices of Products displayed on the Site and any delivery or other charges) are approximate and subject to change without notice. NEHOC and the Customer are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by acceptance of an Order. Payment of Orders NEHOC must receive full payment of the price of the Products ordered, and any other charges (including delivery, insurance or freight charges) that may apply to your Order, before they are delivered or supplied to you. You shall pay for the Products by using one of the payment methods available on the Site. Acceptance of an Order does not establish a credit facility with NEHOC. Where any Order payment be declined or dishonoured you agree to be bound by the following terms: - Dishonoured cheque payments will incur a $27.50 dishonour fee, plus 2.5% interest and all bank and transaction fees incurred by NEHOC. - Dishonoured Credit Card and Direct Deposit payments will incur a $16.50 dishonour fee, plus all Merchant, Bank and transaction fees incurred by NEHOC. - All dishonoured payments resulting in an overdue account will be charged 7.5% compounding interest at the conclusion of each calendar month plus a $2.20 per month Statement Fee. In addition you will be responsible for any further costs incurred in the recovery of the outstanding amount from you. Delivery of Orders Unless otherwise indicated, you will be responsible for payment of all transport and delivery charges for your purchases from NEHOC. A single order comprising of delivery to multiple addresses constitutes multiple Orders with freight for each Order applicable. Part shipments, where goods have been listed on a prior Tax Invoice or where a prior arrangement with NEHOC has been made will be supplied freight free. NEHOC shall endeavour to arrange to deliver the Products to the delivery point as designated by you on your Order. NEHOC is not responsible for lost, damaged or incorrectly delivered Orders where you have listed incorrect delivery details on your Order. NEHOC will use its discretion in selecting a reputable carrier and appropriate means of shipment. Any dates quoted by NEHOC for delivery of the Products are estimates only and shall not form part of the Sale Terms. Delivery costs are available on the Site and from NEHOC upon request. Where the Products are to be delivered by installments, each installment shall be deemed to be the subject of a separate agreement and no default or failure by NEHOC in respect of any one or more installments shall vitiate the Contract in respect of the Products previously delivered or undelivered Products. In the event that NEHOC give notice to you that it is unable to deliver any installment of the Products, you shall be deemed to have accepted those installments already delivered but NEHOC may reimburse the price of the undelivered Products which have been paid for by you. If you fail to take delivery of the Products or any part of them when they are made available to you, or fail to provide accurate instructions, documents, licenses, consents or authorisations required to enable the Products to be delivered, NEHOC shall be entitled, upon giving written notice to you, to store or arrange for storage of the Products, and then risk in the Products shall pass to you, delivery shall be deemed to have taken place, and you shall pay to NEHOC all costs and expenses (including storage and insurance charges) arising from your failure. Unless you notify NEHOC to the contrary by telephone, facsimile transmission or e-mail within seven (7) days of delivery and such notification is confirmed in writing within seven (7) days of its receipt by NEHOC, the Products shall be deemed to have been accepted by you as being in good condition and in accordance with the Sale Terms. Title and risk of loss or damage to the Products shall pass to you on the physical delivery of the Products to the address identified by you in the Order. Notwithstanding the foregoing, title to the Products which are Trademarked shall remain with the applicable licensor(s). In no event shall NEHOC be liable to you for any indirect, special, incidental or consequential damages resulting from performance or failure to perform under an agreement pursuant to the Sale Terms, or from the furnishing, performance or use of any goods or services sold or provided pursuant to the Sale Terms, or due to late delivery or non-delivery of the Products, whether due to a breach of contract, breach of warranty, negligence, or otherwise. Should an Order be lost, stolen or not delivered, it is the customers responsibility to confirm the non-delivery of the order to NEHOC by way of written notice within fourteen (14) days of dispatch. Where an Order is registered or insured on dispatch from NEHOC, NEHOC shall act on the customers behalf to recover the order & any associated costs and replace the original order within a reasonable time frame. Where no registration or insurance was requested on the Order, the customer acknowledges that whilst NEHOC will assist where possible, it is the customers responsibility to prove to NEHOC in writing a missing or delayed delivery. No claims for compensation will be valid if the order is not registered or insured by NEHOC. Returned Goods Policy All requests must be made within 30 days from date of invoice. All goods returned for credit, unless damaged or faulty, must be in original packaging and in a re-saleable condition. We cannot exchange items unless they are defective or damaged. A 15% re-stocking and administration fee applies to any goods accepted for return, at NEHOC's decision, after 30 days from date of invoice. All returns are to be shipped to NEHOC ‘Freight Prepaid’. A Return Authorisation Number [RAN] must be obtained from NEHOC before any goods are returned. NEHOC reserve the right to refuse returns without a RAN. When requesting a RAN, please provide details of the reason for return, original NEHOC invoice number and your purchase order number. We cannot accept items returned after 60 days. A Credit Note will be issued for your records of the transaction. Where a Credit Card was used for payment of the original invoice, a Credit will be issued against the same card unless other arrangements have been made prior to the credit. Where a NEHOC credit account exists a credit will be issued to your account against the original invoice unless other arrangements have been made prior to the credit. NEHOC reserve the right to credit amounts by direct deposit to the customers bank account where credit card and account credits are not possible. Failure of the customer to provide required bank details will result in the credit held until such time as the required bank details are provided. Notice Specific to NEHOC Website Elements of NEHOC website is protected by trade dress, trademark, unfair competition, and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound or image from any NEHOC website may be copied or retransmitted unless expressly permitted by NEHOC. NEHOC AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE DOCUMENTS AND RELATED GRAPHICS PUBLISHED ON THE SITE FOR ANY PURPOSE. THE DOCUMENTS AND RELATED GRAPHICS PUBLISHED ON THE SITE COULD INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION ON THE SITE. NEHOC AND/OR ITS RESPECTIVE SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE PRODUCT(S) AND/OR THE DOCUMENT(S) DESCRIBED ON THE SITE AT ANY TIME. Where Orders are placed by e-mail or the NEHOC Site, under no circumstances shall NEHOC be held liable for a delay, failure or disruption of the Order, information, content or services delivered through the Site resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labour disputes, riots, insurrections, civil disturbances, shortages of labour or materials, fires, flood, storms, explosions, Acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.
